1. Acceptance of Terms

By registering as a member and using the ECR platform, you agree to be bound by these Terms and Conditions, our Privacy Policy, and all applicable laws and regulations. You confirm that you are responsible for compliance with any local laws that apply to your use of the platform. If you do not agree to these terms, you must not create an account or use our services.

2. Membership and Account Requirements

2.1 Account Registration

To access ECR's member features, you must create an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 16 years of age to register. If you are under 18, or under the age of majority in your jurisdiction, you may only register with the consent of a parent or legal guardian, who must accept these Terms on your behalf and who shall be jointly and severally liable for your compliance with them, including for any amounts payable under Section 4.5. Only one account may be held per person. Accounts are personal and non-transferable. ECR may require identity verification for dealer, auction house and commercial subscription accounts.

2.2 Account Sharing Prohibition

Account sharing is strictly prohibited. Each membership is personal to you and may not be shared with, transferred to, or used by any other person, including by means of any API key, session token, authentication cookie, or delegation of credentials to any automated system, artificial intelligence agent, or third-party service, as further set out in Section 3.4(d). Unauthorised sharing of accounts will result in: (1) Immediate suspension of your account; (2) Permanent ban from the platform; (3) Forfeiture of any membership fees paid; (4) Potential legal action. We monitor for account sharing and take violations very seriously.

2.3 Account Security

You must immediately notify ECR of any unauthorised use of your account or any other breach of security. ECR will not be liable for any loss or damage arising from your failure to maintain account security. ECR may, at its sole discretion, force a password reset, require multi-factor authentication, and preventively suspend the account while investigating any suspected compromise or misuse, without such suspension giving rise to any right to refund or compensation.

3. Member Responsibilities and Conduct

3.1 Accurate Information and Authorisation to Upload

As a member, you agree to provide accurate, truthful, and complete information about vehicles, service records, provenance, and history. You represent and warrant that: (1) All information you upload is true and accurate to the best of your knowledge; (2) You have the legal right and authorisation to upload all information, documents, and materials you submit to ECR; (3) You have obtained all necessary permissions, consents, and authorisations from third parties (if applicable) before uploading their information or materials; (4) You will not upload information that you know to be false, misleading, or fraudulent. Deliberately providing false or misleading information, or uploading information without proper authorisation, may result in account termination, legal consequences, and liability for any damages caused. ECR may remove, correct, flag, or mark as unverified any record at its sole discretion, without such action giving rise to any right to compensation or refund.

3.2 Respectful Community Engagement

ECR is a global community. Members must engage respectfully with other members and maintain professional standards when contributing to the platform.

3.3 Prohibited Uses

You agree NOT to: (1) Use the platform for any unlawful purpose; (2) Harass, abuse, or harm other members; (3) Upload malicious code, viruses, or harmful content; (4) Attempt to gain unauthorised access to any part of the platform; (5) Use automated systems (bots, scrapers, etc.) to access the platform without permission; (6) Impersonate any person or entity.

3.4 Zero Tolerance Policy and Immediate Ban

ECR maintains a strict zero-tolerance policy regarding the following conduct. We reserve the right to suspend or permanently terminate your account and restrict your access to the platform, without prior notice and without refund: (a) Disrespect and Abusive Language - failing to respect platform rules, using profanity, cursing, or directing insults or offensive language toward other members or ECR staff, whether on the platform or on ECR's official channels; (b) Fake News and Misinformation - creating, promoting or disseminating false or misleading information about vehicles, members, ECR, or the collector market, whether on the platform or on ECR's official channels; (c) Spam and Unsolicited Promotion - posting, promoting or distributing spam, unsolicited advertisements, or repetitive content on the platform or on any of ECR's official channels, including social media; (d) Account Sharing - sharing your account credentials, login information or membership access with any third party, as set out in Section 2.2; (e) Circumvention - using automated systems, or any technical means, to bypass access controls, rate limits, paywalls or authentication mechanisms. Conduct involving ECR data, content or intellectual property is governed exclusively by Section 4, and the remedies in Section 4.5 apply in addition to termination under this Section.

4. Intellectual Property and Content Usage

4.0 No Authorization

(a) ECR grants no authorization, licence, permission or consent of any kind to access, extract, copy, store, reproduce, disclose, transmit or use ECR's data, content or compilation other than as expressly and narrowly permitted by Section 4.3. (b) No authorization may be implied. The public accessibility of any page, image or record; the absence of a technical barrier; ECR's failure to detect, object to or act upon any prior access; and any period of unchallenged use, do not constitute, evidence or imply authorization of any kind. (c) No authorization may be granted orally or informally. No employee, contractor, agent, moderator or representative of ECR has authority to grant any authorization under this Section. Authorization exists only where granted in a written agreement signed by an authorised officer of ECR, and no person may rely on apparent, ostensible or implied authority to the contrary. (d) Automatic revocation. Any authorization otherwise existing is automatically and immediately revoked upon any violation of Section 4.2, and upon written notice of revocation by ECR. Any access continuing after such revocation is access without authorization for all purposes, including 18 U.S.C. section 1030. (e) The prohibitions in Section 4.2 are absolute and apply to every person, whether or not a member, and whether or not authenticated.

4.1 ECR's Proprietary Rights

All content on the ECR platform, including but not limited to text, graphics, logos, images, data compilations, software, vehicle registries, historical records, and the overall platform design, is the exclusive property of Exclusive Car Registry and is protected by United States and international copyright, trademark, and intellectual property laws. ECR further asserts and reserves: (i) the sui generis database right under Directive 96/9/EC and equivalent United Kingdom legislation, in respect of its substantial investment in obtaining, verifying and presenting the contents of the registry; (ii) protection of the registry and its underlying compilation as a trade secret under the Defend Trade Secrets Act, 18 U.S.C. section 1836 et seq.; and (iii) an express reservation of text and data mining rights pursuant to Article 4 of Directive (EU) 2019/790. ECR does not authorise text or data mining of any part of the platform by any person or system.

4.2 Strict Prohibition on Data Extraction and Redistribution

THIS IS CRITICALLY IMPORTANT. You are strictly prohibited from: (a) Copying, extracting, scraping, or downloading ECR's vehicle data, registry information, service records, images, provenance documentation, or any other content for use outside the platform; (b) Uploading, posting, or transferring any ECR content (including data, images, records, or information) to any other website, platform, registry, database, or service; (c) Using ECR's compiled data, research, or member-contributed content to create or populate competing platforms or services; (d) Sharing screenshots, exports, or copies of ECR content on social media or other platforms without explicit written permission; (e) Using any automated tools to extract or aggregate ECR data; (f) Using, submitting, uploading, inputting or otherwise making available any ECR content or data to any artificial intelligence, machine learning, or automated analytical system, including for the purposes of training, fine-tuning, embedding, indexing, retrieval-augmented generation, or the generation of derivative datasets, whether such system is operated by you or by a third party; (g) Using ECR content or data for any commercial, professional, or business purpose, including valuation services, market reports, brokerage, dealer inventory, lead generation, or client-facing research, whether or not such use is remunerated. The prohibitions in this Section apply equally to any information, output, response, display, visual rendering, API response or derivative representation generated from ECR data. Violations of this section will result in: (1) Immediate and permanent account termination; (2) Legal action, including claims for damages, injunctive relief, and recovery of attorney's fees; (3) Pursuit of all available remedies under federal and state law, including the Digital Millennium Copyright Act (DMCA), Computer Fraud and Abuse Act (CFAA), and trade secret protection laws; (4) The liquidated damages and other remedies set out in Section 4.5. ECR invests significant resources in compiling, verifying, and maintaining this registry. Unauthorised use of our data represents theft of our intellectual property and will be prosecuted to the fullest extent of the law.

4.3 License to Use ECR Platform

Subject to your compliance with these Terms, ECR grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for personal, non-commercial purposes as a member of our community. Dealer and auction house accounts are granted access for informational purposes only. Such accounts confer no commercial licence over ECR data, and any use of ECR content or data in connection with the sale, brokerage, valuation, marketing or inventory management of vehicles constitutes a violation of Section 4.2(g).

4.4 Member-Contributed Content and Image Rights

General Content License: When you upload images, documents, service records, or other content to ECR, you grant ECR a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, display, reproduce, modify, distribute, and create derivative works from that content on the platform for the purpose of operating, promoting, and improving our registry services. Image Copyright and Ownership: By uploading any photographs, images, or visual content to ECR, you explicitly represent, warrant, and confirm that: (1) You are the rightful copyright owner of the image(s), OR (2) You have obtained full authorisation and consent from the copyright owner; (3) You have the legal right to grant ECR the license specified in this section; (4) The images do not infringe on any third-party intellectual property rights, privacy rights, or publicity rights; (5) If the images contain identifiable people (other than yourself), you have obtained their consent. ECR's Rights to Use Images: displaying images in vehicle registries and records; using images in promotional materials, social media, and marketing; featuring images in newsletters, blog posts, or platform announcements; modifying, cropping, or enhancing images for platform optimisation. Your Responsibilities: You are solely responsible for ensuring you have all necessary rights, permissions, and authorisations before uploading any image. ECR is not responsible for verifying your ownership or authorisation, and you will indemnify ECR against any claims arising from your unauthorised upload of images. Retention of Ownership: You retain ownership of the original content you upload, but understand that by contributing to ECR, this content becomes part of our collaborative registry and is subject to the restrictions in Section 4.2 above. Survival and Removal: (i) The licence granted to ECR under this Section survives termination of your membership in respect of records already published, in order to preserve the historical integrity of the registry; (ii) ECR maintains a dispute and removal procedure, and will respond to any such request within [X] business days; (iii) ECR may retain the vehicle record notwithstanding the removal of specific images.

4.5 Remedies, Liquidated Damages and Enforcement

4.5.1 Definitions

For the purposes of this Section: (a) "Class A Data" means any single vehicle record, chassis or VIN entry, ownership record, provenance record, or service or history record. (b) "Class B Data" means any single member profile, collection entry, or dealer or auction house record. (c) "Class C Data" means any single image. (d) "Unit of Data" means any single item of Class A, Class B or Class C Data extracted, copied, stored, transmitted, disclosed or used in violation of Section 4.2. Where a single vehicle record is extracted together with its associated images, each such image constitutes a separate Unit of Class C Data.

4.5.2 Acknowledgement of Harm and Basis of Valuation

You acknowledge that ECR's registry is a proprietary compilation built over more than a decade of curation, verification, expert review and member contribution across more than 130 countries, and that ECR's enterprise value is derived principally from this compilation. The amounts set out in Section 4.5.3 have been calculated, and are not arbitrary. They are derived as follows: ECR's enterprise value, as established in an arm's-length financing transaction, is allocated as to seventy per cent (70%) to the registry compilation; that allocated value is apportioned across the classes of data by reference to their relative contribution to the compilation's value; and the resulting per-unit figure is then reduced to produce the Tier I amount, which accordingly represents a deliberately conservative estimate of the intrinsic value of a single Unit of Data. The Tier II and Tier III multipliers reflect, respectively, the loss of exclusivity as against a single party and the permanent and irreversible destruction of exclusivity in the affected Units of Data. You further acknowledge that the harm caused by unauthorised extraction or disclosure is real but inherently difficult to quantify at the time of contracting, including loss of competitive advantage, dilution of the registry's exclusivity, loss of member trust, and loss of licensing opportunities. The amounts below are agreed by the parties as a reasonable pre-estimate of such harm, arrived at in good faith, and not as a penalty.

4.5.3 Liquidated Damages

In the event of a violation of Section 4.2, you agree to pay ECR the following amounts per Unit of Data. Tier I - unauthorised extraction, copying, downloading or storage: Class A US$ 3,000; Class B US$ 1,000; Class C US$ 100. Tier II - disclosure to any third party, or use for any commercial, professional or business purpose: Class A US$ 7,500; Class B US$ 2,500; Class C US$ 250. Tier III - public redistribution; use to create or populate a competing platform, database or service; or submission to any artificial intelligence or machine learning system: Class A US$ 15,000; Class B US$ 5,000; Class C US$ 500. Where a single act falls within more than one Tier, the highest applicable Tier shall apply. Minimum: in no event shall the aggregate amount payable under this Section in respect of any single incident be less than US$ 250,000, such amount representing ECR's irreducible costs of detection, forensic investigation, legal assessment, member notification and remediation, which are incurred in any violation regardless of volume. Maximum: the aggregate liquidated damages payable under this Section in respect of any single incident shall not exceed US$ 100,000,000. This limit applies solely to liquidated damages and does not limit ECR's right to recover actual damages, disgorgement of profits, statutory damages, injunctive relief, or costs under Sections 4.5.4 to 4.5.6.

4.5.4 Greater of

ECR may elect, at its sole discretion, to recover either the liquidated damages set out in Section 4.5.3 or its actual damages, disgorgement of the violator's profits, and any statutory damages available under applicable law, whichever is greater. The maximum set out in Section 4.5.3 shall not apply to any recovery elected under this Section.

4.5.5 Injunctive Relief

You acknowledge that a violation of Section 4.2 would cause ECR irreparable harm for which monetary damages alone are an inadequate remedy, and you consent to the entry of injunctive relief without the requirement of posting bond.

4.5.6 Costs

You shall reimburse ECR for all costs of enforcement, including reasonable attorneys' fees, investigation and forensic costs, whether or not proceedings are commenced.

4.5.7 Criminal Conduct and Referral

(a) You acknowledge that conduct prohibited under Section 4.2, when committed wilfully, may constitute a criminal offence, including under: 17 U.S.C. section 506 and 18 U.S.C. section 2319 (criminal copyright infringement); 18 U.S.C. section 1030 (Computer Fraud and Abuse Act); 18 U.S.C. section 1832 (theft of trade secrets); Fla. Stat. section 815.04 (offences against intellectual property); Fla. Stat. section 815.06 (offences against computer users); and Fla. Stat. section 812.081 (theft of trade secrets), together with any successor or equivalent provision, and equivalent provisions of the law of your own jurisdiction. (b) ECR reserves the right to report any such conduct to law enforcement authorities, to the United States Attorney's Office, to the Florida State Attorney, and to any competent authority in any jurisdiction, and to cooperate fully with any resulting investigation or prosecution, including by providing access logs, forensic records and canary record evidence. (c) ECR is not required to notify you before making any such report, and the making or withholding of any report is at ECR's sole discretion and does not constitute a waiver of any other remedy.

4.5.8 Survival and Severability

This Section survives termination of your membership. If any amount set out in Section 4.5.3 is held unenforceable, it shall be reduced to the maximum enforceable amount rather than struck, and the remainder of this Section shall continue in full force.

4.5.9 Statutory Damages

ECR has registered, and maintains registration of, the registry compilation with the United States Copyright Office. Nothing in this Section limits ECR's right to elect statutory damages and attorneys' fees under 17 U.S.C. sections 504 and 505 in lieu of, or in addition to, any other remedy available under these Terms.

4.5.10 Independence of Civil and Criminal Remedies

(a) The liquidated damages and other remedies set out in this Section are civil and contractual in nature, arise independently of any criminal proceeding, and are payable in full whether or not any criminal investigation, prosecution, conviction or acquittal occurs. (b) ECR may pursue its civil remedies concurrently with, before, or after any criminal proceeding. The pendency of any criminal proceeding shall not stay, suspend, delay or reduce any amount payable under this Section, and you waive any objection based on the pendency of parallel proceedings. (c) The absence of a criminal referral, the decision of any authority not to investigate or prosecute, or any acquittal or dismissal in a criminal proceeding, shall not constitute evidence that no violation of Section 4.2 occurred, and shall not affect ECR's civil claims, which are subject to a different standard of proof. (d) Any criminal fine or forfeiture imposed on you is payable to the State and does not reduce, satisfy or set off any amount payable to ECR under this Section. Where restitution is ordered in a criminal proceeding in respect of the same loss, ECR may elect to apply such restitution against amounts payable under this Section, but is not obliged to do so to the extent that the liquidated damages compensate a distinct harm.

4.6 Designated Agent and Takedown Procedure

ECR designates [Name] as its agent for receipt of notifications of claimed copyright infringement, at [address / e-mail]. Notifications must comply with 17 U.S.C. section 512(c)(3). ECR will respond to valid notifications within [X] business days, will forward counter-notifications as required by law, and maintains a policy of terminating, in appropriate circumstances, the accounts of repeat infringers.

4.7 Commercial Data Licence

ECR makes available, on written application, a commercial data licence permitting defined categories of professional use on agreed terms. The availability of such a licence does not diminish the prohibitions in Section 4.2, and use of ECR data for any commercial or professional purpose without an executed licence remains a violation of Section 4.2(g).

5. Privacy and Data Protection

5.1 Privacy Commitment and Data Protection

ECR is committed to protecting your privacy. Our collection, use and protection of your personal information is governed by our Privacy Policy and by the Data Protection Addendum at Section 15, both incorporated into these Terms by reference. ECR operates a single global privacy standard applying the highest applicable protection, and honours the rights of data subjects under the General Data Protection Regulation (European Union and United Kingdom), the Lei Geral de Proteção de Dados (Brazil, Law 13.709/2018) and the California Consumer Privacy Act as amended by the CPRA, regardless of the member's place of residence. For the avoidance of doubt, personal data relating to a member is processed under this Section and Section 15; the compiled registry content, including vehicle, provenance and history records, is ECR's proprietary asset governed by Section 4, and the exercise of any data subject right confers no right to extract, export or receive ECR's compiled registry data.

5.2 Member Data

By using ECR, you consent to our collection and use of your information as described in our Privacy Policy. We will not sell your personal information to third parties, nor licence, transfer or otherwise make available any member data or registry content for the training, fine-tuning or development of artificial intelligence or machine learning systems.

5.3 Vehicle and Registry Data

Information you contribute about vehicles becomes part of ECR's collaborative registry and may be visible to other members. You should not include personal contact information or sensitive data in vehicle records. Members may elect to keep their identity, location and collection composition private or pseudonymised. ECR does not display the storage location of any vehicle, and does not display ownership data to unverified accounts.

6. Services and Marketplace

6.1 Registry Services

ECR provides a platform for members to document, preserve, and share information about limited edition vehicles. We facilitate community collaboration but do not verify all member-submitted information.

6.2 Third-Party Services

ECR may provide access to third-party service providers through our marketplace. ECR does not endorse, guarantee, or assume responsibility for any third-party services. Any interactions or transactions with third-party service providers are solely between you and that provider. Where ECR or any affiliated entity receives a commission, referral fee or participation in any transaction originating on the platform, this will be disclosed. ECR is not a party to, broker of, or guarantor of any transaction between members or with third-party providers.

6.3 No Warranty on Listings

ECR does not verify, guarantee, or warrant the accuracy, completeness, or reliability of any vehicle information, service records, or member-contributed content. Members use this information at their own risk and should conduct independent verification.

7. Subscriptions, Payments, and Refunds

7.1 Non-Refundable Policy

All fees associated with paid subscription plans are non-refundable. Once a subscription is activated and payment is processed for the current billing cycle, no refunds or credits will be issued for any unused portion of the subscription period, nor for the total amount paid for that month, regardless of the plan level, except as expressly provided in section 7.2.

7.2 Cancellation Procedure

The user is solely responsible for managing and canceling their subscription. To avoid future charges, the user must access their User Profile settings and complete the designated cancellation process. Cancellation requests sent via email, contact forms, or support tickets shall not be deemed a formal cancellation. Upon successful cancellation, the user will retain access to the paid features until the expiration of the current paid billing period.

7.3 Global Compliance and Governing Law

These Terms are governed by the laws of the State of Florida as set forth in Section 11. By subscribing to our digital services, you acknowledge that access to digital content and exclusive data is provided immediately upon payment. To the fullest extent permitted by law, you expressly waive any "cooling-off" periods or statutory rights of withdrawal, considering the immediate nature of the digital services rendered.

8. Disclaimers and Limitation of Liability

8.1 "As Is" Basis

THE ECR PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 No Guarantee of Accuracy

ECR does not warrant that: (1) The platform will be uninterrupted, secure, or error-free; (2) The information on the platform is accurate, complete, or current; (3) Any defects will be corrected; (4) The platform is free of viruses or harmful components.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ECR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, ECR'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. ECR'S AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF THE TOTAL FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM AND US$ 100. NOTHING IN THIS SECTION LIMITS THE LIABILITY OF A MEMBER UNDER SECTIONS 4.5, 12 OR 17.

9. Modifications to Terms and Platform

9.1 Right to Modify

ECR reserves the right to modify these Terms and Conditions at any time. We will provide notice of material changes by posting the updated terms on the platform and updating the "Last Updated" date. Your continued use of the platform after such changes constitutes acceptance of the revised terms.

9.2 Platform Changes

ECR may modify, suspend, or discontinue any aspect of the platform at any time without prior notice. We may also impose limits on certain features or restrict access to parts or all of the platform without liability.

10. Termination

10.1 Termination by You

You may terminate your membership at any time by contacting ECR or using the account closure feature on the platform.

10.2 Termination by ECR

ECR reserves the right to suspend or terminate your account and access to the platform at any time, with or without cause, with or without notice. Grounds for immediate termination include but are not limited to: (1) Violation of these Terms and Conditions; (2) Account sharing; (3) Misuse of ECR data or content; (4) Fraudulent or illegal activity; (5) Conduct that harms ECR or other members; (6) Any conduct described in Sections 3.4 or 4.2. Termination under this Section does not affect the enforceability of any amounts payable under Section 4.5, and gives rise to no right of refund where motivated by a violation of these Terms.

10.3 Effect of Termination

Upon termination, your right to use the platform immediately ceases. Sections 4.0, 4.1, 4.2, 4.4, 4.5, 4.7, 5, 8, 11, 12, 13, 15, 16 and 17 shall survive termination. Upon termination you must destroy or return all ECR data in your possession and, if requested by ECR, provide written certification of compliance within 10 business days, in accordance with Section 17.

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

11.2 Jurisdiction

You agree that any legal action or proceeding arising out of or related to these Terms or your use of ECR shall be brought exclusively in the federal or state courts located in [Miami-Dade / Duval] County, Florida. You irrevocably consent to the personal jurisdiction and venue of these courts and waive any objection based on forum non conveniens.

11.3 Dispute Resolution

Before filing any legal claim, you agree to first contact ECR to attempt to resolve the dispute informally. Many disputes can be resolved through communication.

12. Indemnification

You agree to indemnify, defend, and hold harmless ECR and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (1) Your violation of these Terms; (2) Your use of the platform; (3) Your violation of any rights of another person or entity; (4) Content you submit to the platform.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ECR regarding your use of the platform.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. In respect of any amount set out in Section 4.5.3, the provision shall be reduced to the maximum enforceable amount and shall not be eliminated.

13.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. ECR's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your account without ECR's prior written consent. ECR may assign these Terms without restriction.

13.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

15. Data Protection Addendum

15.1 Scope. This Addendum applies to all processing of personal data by ECR and forms part of these Terms. 15.2 Controller. ECR processes: identification and contact data (account creation and authentication); billing data (subscription management); usage and log data (security, fraud prevention, platform improvement); and member-contributed content (operation of the registry). 15.4 Legal Bases. Performance of contract (GDPR Art. 6(1)(b); LGPD Art. 7, V) for account and subscription; legitimate interests (GDPR Art. 6(1)(f); LGPD Art. 7, IX) for security, fraud prevention and protection of the registry against unauthorised extraction; consent (GDPR Art. 6(1)(a); LGPD Art. 7, I) for marketing communications and non-essential cookies; legal obligation where applicable. 15.5 Retention. Account data is retained for the duration of the membership and for [X] years thereafter for legal defence and tax purposes. Registry content contributed by members is retained indefinitely as part of the historical record, in accordance with Section 4.4. 15.6 International Transfers. Personal data is transferred to the United States under the EU and UK Standard Contractual Clauses, and in accordance with LGPD Arts. 33-36, with supplementary technical and organisational measures. 15.7 Data Subject Rights. Members may request access, rectification, erasure, restriction, portability, objection, and information on data sharing, by contacting [e-mail]. ECR responds within 30 days (GDPR), 15 days (LGPD) and 45 days (CCPA/CPRA), extendable as permitted by law. The right to portability extends to the member's own personal data and confers no right to extract, export or receive ECR's compiled registry data, which remains subject to Section 4. 15.8 California Rights. California residents have the right to know, delete, correct, and opt out of sale or sharing of personal information, and to non-discrimination. ECR does not sell or share personal information, as set out in Section 5.2. 15.9 Security and Breach Notification. ECR maintains technical and organisational measures appropriate to the risk, and will notify supervisory authorities and affected members within the periods required by applicable law. 15.10 Supervisory Authorities. Members may lodge a complaint with their local supervisory authority, the ANPD (Brazil), or the California Privacy Protection Agency.

16. AI Crawler Policy and Text and Data Mining Reservation

16.1 Reservation. Pursuant to Article 4 of Directive (EU) 2019/790 and equivalent legislation, ECR expressly reserves all text and data mining rights in respect of every part of the platform. No authorisation is granted to any person or system to mine, harvest, index or extract any content for the development, training, fine-tuning or evaluation of artificial intelligence or machine learning systems. 16.2 Automated Agents. Access by automated agents, crawlers and bots is prohibited except as expressly authorised in a written data licence agreement executed with ECR. ECR maintains a robots.txt directive disallowing, without limitation, GPTBot, ClaudeBot, CCBot, Google-Extended, PerplexityBot, Bytespider, Amazonbot, Applebot-Extended and any successor or equivalent agent. 16.3 Circumvention. Disregarding robots.txt, rate limits, authentication requirements or any other access control constitutes a violation of Sections 3.3, 3.4(e) and 4.2, and triggers the liquidated damages set out in Section 4.5.3 at the tier and class corresponding to the data affected. 16.4 No Implied Licence. The absence of any authorization or implied licence is governed by Section 4.0, which applies in full to any access by automated agents.

17. Right of Audit and Certification

17.1 Trigger. Where ECR has a reasonable and documented suspicion that a member has violated Section 4.2 - including anomalous access volumes, sequential enumeration of records, access patterns inconsistent with human browsing, the appearance of ECR content on any third-party platform, or the presence of ECR canary or watermark records in any external dataset - ECR may issue a written Audit Notice. 17.2 Member Obligations. Within 10 business days of an Audit Notice, the member shall provide a signed written statement setting out: (a) all ECR data accessed, extracted, downloaded or stored; (b) the purpose of such use; (c) every person, entity or system to which such data was disclosed, transmitted or made available, including any artificial intelligence or machine learning system; (d) all locations where such data is stored; and (e) confirmation of the permanent deletion of such data, together with a Certificate of Destruction signed by the member or by an authorised officer of the member's organisation. 17.3 Failure to Respond. Failure to provide a complete statement and Certificate of Destruction within the period set out above constitutes an independent and material breach of these Terms, and entitles ECR to immediate termination, to injunctive relief under Section 4.5.5, and to recover the liquidated damages set out in Section 4.5.3. 17.4 False Statement. A statement or Certificate that is materially false or incomplete constitutes a violation of Section 4.2 at Tier III and triggers the corresponding liquidated damages, without prejudice to any claim for fraud. 17.5 Presumption. Where a member fails to respond to an Audit Notice and the number and class of Units of Data affected cannot be determined from ECR's own records, the minimum amount set out in Section 4.5.3 shall apply, and all affected Units of Data shall be presumed to be Class A Data until the member demonstrates otherwise. 17.6 Costs. Where an audit confirms a violation, the member shall bear all costs of the audit, including forensic and legal costs, in accordance with Section 4.5.6.
